hoastnow Referral Partner Terms of Use

1. Program Overview

The hoastnow Referral Program allows approved partners to earn commissions by introducing new brands and community managers to the hoastnow platform. Referral Partner accounts are invitation-only and are granted at hoastnow's sole discretion.

2. Eligibility

To participate in the Referral Program you must:

• Be at least 18 years of age and legally able to enter into contracts
• Have received and accepted a valid invitation from hoastnow
• Provide accurate personal and payment information during registration
• Not be an employee, officer, or contractor of Kuhl Group LLC dba hoastnow

3. Commission Structure

Commissions are calculated on the booking subtotal after hoastnow's platform fee is applied and are earned only when a referred booking reaches Paid status. No commission is earned on cancelled or refunded bookings.

4. Referral Links & Tracking

Upon account activation you will receive a unique referral link and QR code. Attribution is tracked automatically when a new user registers through your link. You are responsible for distributing your referral link accurately and in compliance with these terms.

5. Permitted Promotional Activities

You may promote hoastnow through:

• Your own website, blog, or social media channels
• Direct email or messaging to your professional network
• In-person introductions, trade events, and networking

You may not:

• Misrepresent hoastnow's services, pricing, or capabilities in any way
• Make guarantees about earnings to prospective brands or community managers
• Use paid advertising (search, social, display) that directly bids on hoastnow's brand keywords without prior written approval
• Spam, cold-call, or use any deceptive or high-pressure tactics
• Use hoastnow's name, logo, or trademarks outside of materials hoastnow provides

6. Commission Payouts

Earned commissions are displayed in real time on your Referral dashboard. Payouts are processed on the 15th of each month for all commissions that reached Paid status in the prior calendar month. Minimum payout threshold is $25.00. Balances below the threshold carry over to the following month.

You are solely responsible for any taxes, withholding, or reporting obligations on commissions you receive. hoastnow will issue applicable tax forms (e.g., Form 1099-NEC) as required by law.

7. Confidentiality

As a Referral Partner you may have access to non-public platform information, commission rates, and business terms. You agree to keep this information strictly confidential and not to disclose it to third parties without hoastnow's prior written consent.

8. Relationship of the Parties

You are an independent contractor, not an employee, agent, or franchise of hoastnow. You have no authority to bind hoastnow to any agreement, represent hoastnow in any official capacity, or make commitments on hoastnow's behalf.

9. Indemnification & Limitation of Liability

You indemnify and hold harmless Kuhl Group LLC dba hoastnow, its officers, employees, and affiliates from any claims, losses, or liabilities arising from your promotional activities, misrepresentations, or violations of these terms. hoastnow's total liability to you under this program shall not exceed the total commissions paid to you in the 3 months preceding the claim.

10. Program Modification & Termination

hoastnow reserves the right to modify commission rates, payout schedules, or these terms at any time with 30 days' written notice. Continued participation after the notice period constitutes acceptance of the revised terms.

hoastnow may suspend or terminate your Referral Partner account immediately for: fraud, violation of these terms, misrepresentation of hoastnow's services, or any activity that damages hoastnow's reputation. Upon termination, any unpaid earned commissions will be reviewed and paid out within 60 days if no violation is found to have caused them.
