hoastnow Management Company Terms

1. Acceptance and Definitions

These Management Company Terms (“Terms”) are a legal agreement between you and Kuhl Group LLC dba hoastnow (“hoastnow,” “we,” “us”). By clicking “I agree” or accessing a Management Company account, you accept these Terms on behalf of the legal entity you represent.

“Community Owner” means an individual or entity that has registered a community on hoastnow and holds the primary account for that community’s listing. “Brand” means any business that books community spaces through hoastnow. “Management Company” means a legal entity approved by hoastnow to manage one or more attached communities on behalf of Community Owners.

“Attached Community” means a community whose hoastnow account has been linked to your Management Company account by hoastnow. “Commission” means the 5% share of a completed booking’s payout allocated to you under these Terms.

2. Eligibility

To qualify for a Management Company account you must:

  • Be a registered legal entity (corporation, LLC, partnership, or equivalent) in good standing in your jurisdiction.
  • Hold any license or registration required by applicable law to act as a community or property manager for the communities you intend to manage on hoastnow.
  • Have signing authority to bind your organization to these Terms.

3. Account Approval

Management Company accounts are curated and require hoastnow’s approval. hoastnow may approve, reject, or revoke accounts at its discretion. Grounds for rejection or revocation include, but are not limited to: inability to verify legal entity status, evidence of fraudulent or misrepresentative applications, complaints from Community Owners, or material breach of these Terms.

Approval grants you access to attach and manage communities on the platform. It does not constitute an endorsement by hoastnow of your management services. hoastnow may require periodic recertification of your eligibility.

4. Community Attachment

Communities are attached to your Management Company account by hoastnow’s operations team based on your application. You may request attachment of additional communities through your dashboard at any time. hoastnow retains sole discretion to approve or deny any attachment request.

A Community Owner may contact hoastnow at any time to request detachment of their community from your account. Upon verified request, hoastnow will detach the community and your access to that community’s account will terminate.

5. Commission Terms

Commission Structure

5% — Management Company commission, drawn from the community’s payout share

For each completed booking in an Attached Community, hoastnow will credit you a Commission equal to 5% of the booking’s payout to the community. The Commission rate that applies to any given booking is fixed when that booking is created, so any later change to the rate only affects new bookings.

A Commission is earned when a booking is created and is paid out after the community’s payout completes. If a booking is cancelled before its payout, the related Commission is voided. If a payout is reversed after the fact — for example because of a chargeback or refund — the related Commission is reversed as well. hoastnow reserves the right to void or reverse Commissions on fraudulent or disputed bookings.

6. Payout Setup and Tax

Before receiving your first Commission payout, you must complete vendor onboarding via Payabli, our third-party payment processor. This includes:

  • Providing a valid business bank account for ACH transfers.
  • Completing a W-9 (US entities) or W-8BEN / W-8BEN-E (foreign entities) for tax identification purposes.
  • Accepting Payabli’s vendor terms of service.

hoastnow will issue 1099-NEC forms to US-based Management Companies that receive $600 or more in Commission payments in a calendar year, as required by applicable IRS regulations. You are solely responsible for reporting and paying all taxes on Commission income in your jurisdiction.

7. Brand Relationships

As a Management Company, you are authorized to message brands on behalf of Attached Communities and to act on booking requests and approvals in place of the Community Owner. All communications you send through hoastnow on behalf of a community are binding on that community in the same manner as communications sent directly by the Community Owner.

You are not a party to the booking contract between a Brand and a Community Owner. The booking contract is formed solely between the Brand and the Community Owner upon booking approval. Your role is that of an authorized operator acting on the Community Owner’s behalf. hoastnow is a technology platform and is not a party to the booking contract either.

8. Suspension and Detachment

hoastnow may suspend your Management Company account at any time for material breach of these Terms, failure to maintain eligibility requirements, or behavior that poses a risk to the hoastnow community. Suspension results in immediate loss of access to your account and all Attached Communities. Pending Commissions on bookings created before the suspension date are preserved and will be paid out or voided in accordance with the underlying booking status.

Individual communities may be detached from your account without affecting your overall account status. Detachment terminates your access to that community’s account and listings. Commissions earned on bookings created before the detachment are unaffected and will be paid out as scheduled.

9. Confidentiality and Data

Through your Management Company account you may access booking details, Brand contact information, and community financial data for your Attached Communities. This information is confidential and may only be used to fulfill your community management obligations under these Terms and any separate management agreement with the Community Owner.

You may not share, sell, or use Brand booking data for purposes unrelated to managing the relevant Attached Community. hoastnow’s Privacy Policy governs how hoastnow processes personal data. You are responsible for ensuring your own processing of personal data accessed through hoastnow complies with applicable privacy law.

10. Liability and Indemnification

You indemnify and hold harmless Kuhl Group LLC dba hoastnow, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from: (a) your breach of these Terms; (b) your misrepresentation of authority to manage an Attached Community; (c) your acts or omissions in connection with any booking; or (d) any dispute between you and a Community Owner.

hoastnow’s total liability to you under these Terms shall not exceed the total Commissions paid to you in the six (6) months preceding the claim. hoastnow is a technology platform only and assumes no liability for on-site incidents, Community Owner decisions, or Brand conduct. In no event shall hoastnow be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law provisions. Any dispute not resolved through good-faith negotiation within 30 days shall be submitted to binding arbitration in Miami-Dade County, Florida, under the then-current commercial arbitration rules of the American Arbitration Association.

12. Changes to These Terms

hoastnow reserves the right to update these Terms at any time. We will provide at least 14 days’ notice of material changes via email to the address on file for your account. Your continued use of your Management Company account after the notice period constitutes acceptance of the updated Terms. If you do not accept the changes, you must contact us to close your account before the effective date.
